Yes you do need the disk, would hurt sales a lot if you didn't. x:
If by downloading a game you mean Games On Demand, then no. Its a digital game the same as if you has downloaded an XBLA title. If you mean installing it, then I think this answer pretty much sums it up:

I'm pretty sure that he means installing a game to your HDD from the disc. Of course you need the disc in the tray as a way to verify that you in fact own the game. You can't install the game to your HDD and 10 of your friends' HDD's from one disc. They aren't that naive.
I figured you needed the disc in, just wanted to make sure.
